Terms and Conditions

1. About These Terms

These Website Terms & Conditions (“Terms”) govern access to and use of the Fractional Automations website at www.fractionalautomations.com (“Website”). The Website is operated by Fractional Automations (Pty) Ltd, registration number 2026/201414/07 (“Fractional Automations”, “FA”, “we”, “us” or “our”).

By accessing or using the Website, you agree to these Terms. If you do not agree with them, please do not use the Website.

These Terms govern use of the Website only. They do not replace or amend any signed service agreement, quotation, statement of work, data-processing terms or other written agreement between FA and a client. Where a signed agreement applies to a service, that agreement governs the relevant client relationship to the extent of any inconsistency.

2. About Our Services

FA provides outsourced finance operations, accounting-support services, workflow automation, intelligent automation and related business-process services. Information about our services published on the Website is provided for general information and does not itself constitute a binding offer or create a client relationship.

A quotation request submitted through the Website is an enquiry only. It does not by itself create a contract or obligation for FA to provide services. A client relationship will arise only when the applicable commercial terms have been agreed and the required service agreement or other binding agreement has been accepted.

3. Quote Requests and Email Addresses

The Website may allow you to request a quotation or contact FA. In doing so, we may collect your name, company name, email address, telephone number, business requirements and other information you voluntarily submit.

An email address supplied with a quote request may be used to:

  • respond to your quotation or service enquiry;
  • request information needed to prepare or clarify a quotation;
  • communicate with you regarding the proposed services;
  • maintain an appropriate record of the enquiry; and
  • perform related administrative, security and compliance functions.

Providing an email address for a quote request does not, by itself, constitute consent to receive unrelated electronic direct marketing. Where FA sends electronic direct marketing, it will do so in accordance with applicable South African law and the requirements applicable to unsolicited electronic communications.

Our Privacy Notice explains how personal information submitted through the Website is processed, including applicable purposes, recipients, retention, security and data-subject rights.

4. Information Relating to Other People

If you submit information or documents containing personal information relating to employees, customers, suppliers, contractors or other third parties, you are responsible for ensuring that you are authorised to provide that information and that the disclosure is lawful.

You should not submit unnecessary personal information through a quotation or contact form. Where documents are requested for a formal client onboarding or service process, applicable data-processing and privacy arrangements will apply.

5. Accuracy of Submitted Information

You are responsible for ensuring that information submitted through the Website is accurate, complete and not misleading. FA may contact you to clarify information before preparing a quotation.

6. Website Content and Professional Advice

We endeavour to keep Website content accurate and current, but we do not warrant that all content will always be complete, current, error-free or available.

Website content is provided for general informational purposes and does not constitute accounting, tax, legal, financial or other professional advice. Client-specific services are provided subject to the applicable agreement and agreed scope of work.

7. Intellectual Property

Unless otherwise stated, the Website and its content, including text, branding, logos, graphics, layouts, documents and original materials, are owned by or licensed to FA and are protected by applicable intellectual-property laws.

You may access and use the Website for lawful purposes. You may not reproduce, republish, modify, distribute, sell, commercially exploit or create derivative works from FA Website content without prior written permission, except where permitted by law.

8. Prohibited Use

You must not use the Website:

  • for an unlawful, fraudulent or misleading purpose;
  • to interfere with the operation, availability or security of the Website;
  • to attempt unauthorised access to systems, accounts or data;
  • to upload malicious code or harmful material;
  • to impersonate another person or entity; or
  • in a manner that infringes the rights of FA or another person.

9. Third-Party Websites and Services

The Website may contain links to third-party websites or services. These links are provided for convenience only. FA does not control and is not responsible for third-party content, availability, security, privacy practices or terms.

10. Website Availability and Security

We do not guarantee that the Website will always be available, uninterrupted, secure or free from errors. We may modify, suspend or discontinue Website features or content where reasonably necessary.

We take reasonable steps to protect information submitted through the Website, but no electronic transmission or storage system can be guaranteed to be completely secure.

11. Privacy and Personal Information

Personal information collected through the Website is processed in accordance with FA’s Privacy Notice/Privacy Policy and applicable South African data-protection law.

The Privacy Notice provides further information about the personal information FA collects, the purposes for which it is processed, relevant recipients and service providers, retention, security, data-subject rights and privacy contacts.

FA’s PAIA Manual is also available through the Website footer.

12. Electronic Communications

Communications submitted through the Website, including quote requests and contact forms, may be processed electronically. FA may retain appropriate records of enquiries and communications for business administration, legal, compliance, security and service-related purposes.

Nothing in these Terms is intended to exclude or limit mandatory rights or obligations under applicable South African law, including the Electronic Communications and Transactions Act, 2002 (Act 25 of 2002).

13. Disclaimers

To the fullest extent permitted by law, FA makes no representation or warranty that the Website or its content will meet every user's requirements, be continuously available, or be free from errors or harmful components.

Nothing in these Terms excludes or limits a right, remedy or liability that cannot lawfully be excluded or limited under South African law.

14. Limitation of Liability

To the fullest extent permitted by applicable law, FA will not be liable for indirect, incidental, special or consequential loss arising from or connected with your use of, or inability to use, the Website or reliance on Website content.

This clause does not exclude or limit liability to the extent that such exclusion or limitation is prohibited by law.

15. Indemnity

To the extent permitted by law, you agree to indemnify FA against claims, losses, liabilities, costs and expenses arising from your unlawful use of the Website, your breach of these Terms, or information you submit through the Website where you did not have the necessary authority to provide it.

16. Changes to These Terms

FA may update these Terms from time to time. The updated version will be published on the Website with a revised effective date. Continued use of the Website after an update constitutes acceptance of the updated Terms to the extent permitted by law.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of South Africa. Subject to any mandatory jurisdictional requirements, disputes concerning these Terms or use of the Website will be subject to the jurisdiction of the South African courts.
